Indian consumer-appliance maker Atomberg Technologies has filed draft papers for an initial public offering (IPO), marking a major step toward its stock-market debut as the company looks to raise fresh capital and provide an exit opportunity to some existing shareholders.

The proposed Atomberg Technologies IPO will include a fresh issue of equity shares worth up to ₹450 crore, along with an offer for sale, or OFS, of up to 76.5 million shares — approximately 7.65 crore shares — by existing investors.

The company has not yet disclosed the overall size of the IPO. The final value will depend partly on the price band determined closer to the launch of the public offering.

Atomberg IPO: ₹450 Crore Fresh Issue

Under the proposed IPO structure, Atomberg Technologies plans to raise up to ₹450 crore through the issuance of new shares.

The fresh issue is significant because money raised through this portion of the IPO goes to the company, unlike proceeds from an offer for sale, which are received by the shareholders selling their stakes.

The filing follows shareholder approval earlier in August for the proposed fresh issue.

Atomberg had also received approval for a potential pre-IPO placement of up to ₹90 crore. If such a placement is completed, the size of the fresh issue may be adjusted in accordance with applicable regulations and the company’s offering structure.

Existing Investors Plan Major Offer for Sale

In addition to the fresh issue, the proposed public offering includes an offer for sale of up to 76.5 million equity shares by existing shareholders.

The OFS will allow participating investors and shareholders to monetize part of their holdings through the IPO.

Unlike the fresh issue, Atomberg will not receive proceeds generated from shares sold under the OFS. Those proceeds will go to the respective selling shareholders after applicable expenses and taxes.

The combination of a fresh issue and a sizable OFS makes the proposed IPO an important liquidity event for the consumer-appliance company and its investors.

Total Atomberg IPO Size Not Yet Disclosed

Despite outlining the fresh issue and OFS components, Atomberg Technologies has not disclosed the final overall value of the IPO.

That figure will become clearer once the company and its book-running lead managers determine the IPO price band and other offering details.

The IPO will also remain subject to regulatory approvals and market conditions before the issue can open for public subscription.

Atomberg Built Its Brand Around Energy-Efficient Fans

Atomberg Technologies has emerged as a recognizable Indian consumer-appliance brand, initially building its business around energy-efficient fans powered by brushless direct current, or BLDC, motors.

The company subsequently expanded its product portfolio beyond fans as it sought a larger presence in India’s home-appliance market.

Its public-market plans come at a time when investors are increasingly watching India’s consumer brands and new-age companies seeking stock-market listings after scaling their businesses through institutional and venture capital.

A successful listing would place Atomberg among a growing group of Indian consumer-focused businesses moving from privately funded growth to public ownership.

Filing draft IPO documents is an important step in the listing process, but it does not mean the IPO will open immediately.

The documents will go through the applicable regulatory review process. The company may subsequently file updated offering documents before announcing the IPO’s price band, opening date, closing date and other subscription details.
